These Terms of Use (the "Terms") govern your access to and use of the Verten job marketplace, including the Verten website, candidate and employer dashboards, and related services (together, the "Platform"), operated by Verten ("Verten", "we", "us" or "our"). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Eligibility & Accounts

You must be the age of majority in your province or territory of residence, or at least 16 years old with the consent of a parent or guardian, to use the Platform. You are responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account. A single Verten account may be used across the Verten job portal and Verten Academy.

2. Candidate & Employer Roles

The Platform serves job seekers ("Candidates") and hiring organizations ("Employers"). Candidates may build profiles, upload resumes and video introductions, and apply to roles. Employers may post positions, search candidates, and manage applications. You agree to use the role features only for their intended, lawful hiring and job-search purposes. Verten is a neutral venue and is not a party to, and does not guarantee the outcome of, any application, interview, offer, or employment relationship.

3. Acceptable Use

You agree not to: post false, misleading, discriminatory, or unlawful content; impersonate any person or organization; scrape, harvest, or misuse candidate or employer data; upload malware or attempt to disrupt or gain unauthorized access to the Platform; or use the Platform to send spam or unsolicited communications. We may suspend or terminate accounts that violate these Terms.

4. Your Content

You retain ownership of the resumes, profile details, video introductions, job postings, and other materials you submit ("Your Content"). You grant Verten a non-exclusive, worldwide licence to host, process, display, and share Your Content as needed to operate the Platform — for example, showing a Candidate's profile to an Employer to whom they apply. You are responsible for ensuring you have the right to submit Your Content and that it does not infringe the rights of others.

5. AI-Powered Features

The Platform offers AI-assisted features such as resume assessments, job-fit scoring, matching, interview preparation, and salary insights. These features are provided for informational purposes only, may be inaccurate or incomplete, and do not constitute professional, legal, financial, or career advice. Scores and matches are not guarantees of employment, suitability, or results, and hiring decisions remain the sole responsibility of Employers and Candidates.

6. Subscriptions & Billing

Certain features require a paid subscription. Candidate Pro is offered at CAD $9.99/month, and Employer plans are offered as Standard (CAD $249) and Premium (CAD $799), with details shown on our Pricing page. Payments are processed by Stripe. Paid plans renew automatically until cancelled, and you may cancel or manage your subscription at any time through the billing portal. Except where required by law, fees already paid are non-refundable; refund requests may be directed to support@verten.ca. Prices are in Canadian dollars and exclusive of applicable taxes unless stated otherwise.

7. Intellectual Property

The Platform, including its software, design, logos, and content (excluding Your Content), is owned by Verten or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Platform except as expressly permitted by these Terms.

8. Third-Party Services & Links

The Platform integrates with and links to third-party services (such as payment, email, messaging, and cloud providers). We are not responsible for the content, policies, or practices of third parties, and your use of those services is governed by their own terms.

9. Disclaimers & Limitation of Liability

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. To the maximum extent permitted by applicable law, Verten will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or opportunity, arising from your use of the Platform.

10. Termination

You may stop using the Platform and close your account at any time. We may suspend or terminate your access if you breach these Terms or where necessary to protect the Platform or its users. Provisions that by their nature should survive termination will continue to apply.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising from these Terms or the Platform.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
